Please read these Terms of Use carefully before using the LendingHub platform (“Platform”). By accessing or using the Platform, you agree to be legally bound by these Terms.

1. PLATFORM PURPOSE — TECHNOLOGY ONLY

LendingHub is a software platform designed to facilitate the presentation and management of investment opportunities by independent third parties (“Sellers”).

The Platform is not a financial institution, broker-dealer, investment adviser, mortgage broker, or securities dealer.

2. THIRD-PARTY OFFERINGS

All investment opportunities are presented by independent third-party Sellers.

The Platform operator:

* does not originate, structure, underwrite, or sponsor investments
* does not endorse or recommend any investment
* is not a party to any transaction

All investment opportunities are the sole responsibility of the applicable Seller.

3. NO PARTICIPATION IN TRANSACTIONS

The Platform does not facilitate or execute transactions.

The Platform does not:

* handle or transfer investor funds
* negotiate terms
* prepare legal documents
* close transactions
* service loans or investments

Any transaction occurs entirely outside the Platform between you and the Seller.

4. NOT INVESTMENT ADVICE

Nothing on the Platform constitutes investment, legal, or tax advice.

You are solely responsible for:

* evaluating investments
* conducting due diligence
* consulting your own advisors

5. NOT AN OFFER OR SOLICITATION

Nothing on the Platform constitutes an offer to sell or a solicitation to buy any investment.

Any indication of interest is:

* non-binding
* informational only
* subject to further review outside the Platform

6. INVESTOR ELIGIBILITY & RESPONSIBILITY

By using the Platform, you represent that:

* you are at least 18 years old
* you have the capacity to enter agreements
* you understand investment risks
* you are responsible for your own due diligence
* you comply with all applicable laws

7. ACCREDITED INVESTOR NOTICE

Certain opportunities may be limited to accredited or sophisticated investors.

By indicating interest, you represent that you meet applicable requirements where required.

8. RISK DISCLOSURE

All investments involve risk, including total loss of capital.

Risks include, but are not limited to:

* borrower default
* real estate market changes
* economic conditions
* interest rate changes
* illiquidity

Past performance is not indicative of future results.

9. NO VERIFICATION OF INFORMATION

The Platform does not verify the accuracy or completeness of information provided by Sellers.

All information is provided by third parties and must be independently verified by you.

10. COMMUNICATIONS DISCLAIMER

Notifications, alerts, and communications (including push, email, and SMS) are:

* automated or Seller-initiated
* informational only

They do not constitute offers or recommendations by the Platform.

11. USER CONDUCT

You agree not to:

* misuse the Platform
* misrepresent your identity or qualifications
* share confidential information improperly
* interfere with Platform operations

The Platform may suspend or terminate access at any time.

12. ACCOUNT ACCESS & TERMINATION

The Platform reserves the right to:

* approve or deny access
* suspend or terminate accounts
* restrict access to opportunities

at its sole discretion.

13. PRIVACY

Your information is used to facilitate Platform functionality and communications.

By using the Platform, you consent to receive communications electronically.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Platform operator is not liable for:

* investment losses
* inaccuracies in third-party information
* decisions made based on Platform content
* any indirect or consequential damages

15. INDEMNIFICATION

You agree to indemnify and hold harmless the Platform operator from any claims arising from:

* your use of the Platform
* your investment decisions
* your interactions with Sellers

16. DISPUTE RESOLUTION

Any disputes shall be resolved through binding arbitration in the State of California.

You waive the right to participate in class actions.

17. GOVERNING LAW

These Terms are governed by the laws of the State of California.

18. CHANGES TO TERMS

We may update these Terms at any time. Continued use constitutes acceptance.

19. ELECTRONIC CONSENT

You agree that all agreements and communications may be conducted electronically.

By using the Platform, you acknowledge that you have read, understood, and agree to these Terms.
